Terms of Service

These terms are the deal between your business and us when you use Cerul. Questions? Email kc@cerul.org.

1. Who we are

Cerul is made and run by Panacea-Tech, LLC, a Georgia company based in Eastman, Georgia ("we," "us"). "You" means the business that signs up and the people it invites.

2. The service

Cerul is a back office for local trades: quotes, invoices, payments, booking, reports, an AI assistant, and, depending on your plan, social posting, an AI phone line, and your website. Features change as we improve Cerul, but we won't take away something you pay for without telling you first.

3. Your account

  • One business per account. Each plan includes three users: you and two crew.
  • You're responsible for your logins and everything done under them. Keep them to yourself and tell us right away if one is misused.
  • Keep your business information true and current.
  • You must be at least 18 and able to agree to these terms for your business.

4. Plans and billing

  • Free week, no card. Every plan starts with a free week. If you don't add a card, it just ends. No surprise charges.
  • Monthly. Plans are $150/mo and $200/mo, plus Custom setups priced with you. Plans renew monthly until you cancel. Card billing runs through Stripe; some customers pay us by check or invoice instead.
  • Cancel anytime from the app. You keep access through the end of the month you've paid for.
  • No refunds for partial months unless we tell you otherwise in writing.
  • Price changes come with at least 30 days' notice by email. If you don't like the new price, you can cancel before it takes effect.

5. Money between you and your customers

  • Your customers pay you. Card and bank payments run through Stripe, including Stripe Connect on your own Stripe account, under Stripe's terms.
  • You set your prices, deposits, payment terms, and tax rates, and you file your own sales tax. Cerul's tax totals are a tool, not tax advice.
  • We're not a party to the sales between you and your customers. Refunds, disputes, and chargebacks are between you, your customer, and Stripe.
  • Cerul never stores card numbers. Bank (ACH) payments are free to your customer; a card surcharge applies only if you turn one on, and following the rules on surcharges is your responsibility.
  • Cerul sends invoices automatically when you set it up to. It never charges a customer's card automatically.
  • When your customer approves a quote, they accept your terms on that quote (ours by default, or your own). That agreement is between you and them.

6. Acceptable use

Don't use Cerul to:

  • break the law, or help anyone else break it;
  • send spam, robocalls, or messages people didn't ask for through the email, phone, or social tools;
  • post content you don't have the rights to, or that's hateful, deceptive, or harassing;
  • try to break into, overload, copy, or resell the service.

If you connect your social accounts or phone line, you also follow those platforms' rules. We can pause anything that puts the service or other customers at risk.

7. Your content

Your business data is yours: customers, quotes, invoices, photos, and posts. You give us permission to store, process, and display it only as needed to run Cerul for you (for example, to put your logo on an invoice or publish a post you approved). You can export your books as CSV at any time. We don't sell your data.

8. The AI assistant

Cerul's assistant drafts messages, posts, and summaries and answers questions about your business. AI can be wrong, so read what it drafts before you send or rely on it. Anything that sends money, emails a customer, or changes your books asks you to confirm first. Prices, totals, tax, and payments are calculated by fixed math from your settings, never by AI.

9. Availability and support

We work hard to keep Cerul up and back it up nightly, but we can't promise it will never go down or have a bug. Support is best effort by email at kc@cerul.org or by phone at (478) 231-8456.

10. Ending things

You can cancel or delete your company at any time. We can suspend or close an account that breaks these terms or doesn't pay, and we'll give notice when we reasonably can.

11. Limits on our liability

Cerul is provided "as is." To the extent the law allows, we aren't liable for lost profits, lost data, or indirect damages, and our total liability for any claim is capped at what you paid us in the 3 months before the claim. Nothing here limits liability the law doesn't let us limit.

12. Changes to these terms

If we change these terms in a way that matters, we'll email you and update the date above at least 30 days before it takes effect. Keep using Cerul after that and the new terms apply.

13. Georgia law, and talking first

These terms are governed by the laws of the State of Georgia. If something goes wrong, email us first and we'll try in good faith to sort it out informally. If that doesn't work within 30 days, either side can take it to the state or federal courts serving Dodge County, Georgia.
